Terms and Conditions

By registering for or using GroenPlanning you agree to these terms and conditions and to our privacy policy. If you do not agree, you may not use the service. These terms apply to every user and every team member who has access to an account.

• Service / platform: the software and services offered via GroenPlanning.
• User: the self-employed person or business that creates an account.
• Team: the user and the team members they invite.
• Customer: the end customer of the user, whose data is entered in the platform.
• Content: all data, text, photos and files that the user enters or uploads in the platform.

To use the service you create an account with accurate and complete information. You are responsible for keeping your login credentials confidential and for all activity under your account. We recommend enabling two-factor authentication. As a team administrator you are responsible for managing your team members’ access and for their use of the service. Report suspicious or unauthorised use to us immediately.

• The service is offered on a subscription basis. Applicable prices are stated on our website.
• Any free trial provides temporary access; afterwards the paid subscription begins unless you cancel in advance.
• Subscriptions are billed in advance and, unless otherwise stated, renew automatically. You may cancel monthly.
• Prices are exclusive of VAT unless otherwise indicated. We may adjust our prices and will notify you in advance.
• In case of late payment we may suspend access to the service.

We grant you a non-exclusive, non-transferable right to use the service for your own business activities, in accordance with these terms. The service is provided “as is” and may from time to time be updated with new or changed features.

As a user you are responsible for ensuring that:

• the data you enter is accurate, complete and up to date;
• you have a valid legal basis to process your customers’ data and inform them correctly;
• your invoices and communications to your customers comply with applicable law;
• you use the service in accordance with the law, including the rules on data protection and e-invoicing (including Peppol where required).

When using the service it is not permitted to:

• use the service for unlawful, fraudulent or misleading purposes;
• infringe the rights of others, including privacy and intellectual property rights;
• send unsolicited or unlawful messages (spam) via the service;
• distribute harmful code or disrupt or bypass security or infrastructure;
• reverse-engineer, copy or resell the service without our permission;
• overload the platform or query it automatically in a way that harms its operation.

You remain the owner of all content you enter or upload in the platform. You grant us a limited licence to host, process and display that content, solely to provide the service to you. For your customers’ personal data we act as processor and you as controller, as described in our privacy policy. You can export your content for as long as your account is active.

The platform, software, design, trademarks and all related intellectual property rights belong to GroenPlanning - Oxopia NV or its licensors. Nothing in these terms transfers those rights to you. You may not use our name, logos or trademarks without prior written permission.

The service uses third-party services, such as accounting software for e-invoicing, an email delivery service and a payment provider. Use of those services may be subject to their own terms. We are not liable for outages or shortcomings attributable solely to such third parties.

We strive for high availability of the service, but cannot guarantee uninterrupted or error-free operation. We may temporarily interrupt the service for maintenance, updates or for security reasons. We make reasonable efforts to announce planned maintenance in advance. We may add, change or discontinue features to improve the service.

You may terminate your account at any time according to the cancellation terms of your subscription. We may suspend or terminate your access if you breach these terms, if payment is outstanding, or if your use poses a risk to the service or to others. After termination we process your data as described in our privacy policy. Make sure you export your content in time before final deletion.

To the extent permitted by law, our liability is limited to direct damage and to the amount you paid for the service in the twelve months before the damaging event. We are not liable for indirect or consequential damage, such as loss of profit, loss of data, or missed savings. This limitation does not apply in case of intent or gross negligence on our part, nor to liability that cannot legally be excluded.

You indemnify GroenPlanning - Oxopia NV against third-party claims — including from your own customers — arising from your use of the service, from the content you enter, or from a breach of these terms or of applicable law.

We may update these terms and conditions from time to time. The most recent version is always on this page. For important changes we will notify you in advance. If you continue to use the service after the effective date, you accept the amended terms.

These terms are governed by Belgian law. Disputes that cannot be settled amicably shall be submitted to the competent courts of the judicial district where GroenPlanning - Oxopia NV has its registered office.
